Effective date: May 1, 2026 · Version 1.0. These Terms govern your use of Microset. Please read them carefully, together with the Privacy Policy and the Risk Disclosure, before using the Service.

1. Acceptance of these terms

By accessing or using Microset (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Service. The Service is operated by Microset, a Cayman Islands entity, together with its affiliates, including Microset LLC, a U.S. limited liability company (“Microset”, “we”, “us”).

2. Nature of the protocol

Microset is designed to operate as non-custodial market infrastructure rather than as a bookmaker, house, discretionary market maker, directional counterparty, or custodian. The protocol provides neutral, deterministic market mechanics for short-lived, event-synchronous micro-markets. Markets are peer-to-peer: participants allocate capital into outcome-specific escrow pools and are paid pro-rata from those pools upon deterministic settlement, less a protocol fee. Microset does not set odds, take directional exposure, or guarantee outcomes.

3. No advice; no offer of securities

Nothing in the Service or any Microset communication constitutes investment, legal, tax, accounting, or financial advice, or a recommendation to enter into any transaction. Microset is not a broker, dealer, investment adviser, futures commission merchant, or fiduciary. Participation decisions are made solely by you. Microset does not, through the Service, offer or sell securities, and the protocol does not require a native token for its core operation (see Section 11).

4. Eligibility, age, and responsible participation

You may use the Service only if you:
  • Are at least 18 years old (or the age of majority in your jurisdiction, or any higher minimum age required for participation in event-outcome markets, whichever is higher);
  • Are accessing the Service from a jurisdiction where Microset makes it available (see Section 5);
  • Are not a Sanctioned Person and are not located in a Prohibited Jurisdiction; and
  • Are otherwise permitted under applicable law to participate.
Event-outcome markets carry risk of loss. You should commit only capital you can afford to lose. Where appropriate, interfaces may provide responsible-play information, self-exclusion tools, activity limits, and links to support resources.

5. Geographic restrictions and geofencing

Access to participation-enabled interfaces is restricted by jurisdiction. Microset and its integration partners implement controls that may include IP-based geofencing, wallet- or jurisdiction-level screening, eligibility attestations, and selective market availability, so that markets are available only where consistent with applicable law.
  • You must not access participation-enabled interfaces from, or while resident in, any Prohibited Jurisdiction, and must not use VPNs, proxies, or other means to circumvent geographic or eligibility restrictions.
  • The list of Prohibited Jurisdictions and restricted markets may change at any time in response to legal developments.
  • Availability of an interface in a jurisdiction is not a representation that participation is lawful for any particular user; you remain responsible for your own compliance.

6. Anti-money-laundering, sanctions, and KYC

Microset is committed to preventing use of the Service for money laundering, terrorist financing, sanctions evasion, or other illicit finance. Depending on jurisdiction and interface configuration, controls may include sanctions screening of wallet addresses against applicable lists (including OFAC, the UN, the EU, and the UK), identity verification, transaction monitoring, and blocking or restricting access for Sanctioned Persons or addresses associated with illicit activity. You represent that you are not a Sanctioned Person, are not acting on behalf of one, and will not use the Service for unlawful purposes. Microset may suspend or terminate access and report activity as required by law.

7. Wallets and transactions

  • You are solely responsible for your wallet, private keys, and seed phrase. We will never ask for them, and we cannot recover them.
  • Blockchain transactions are irreversible once confirmed. We cannot reverse, cancel, or refund a confirmed transaction.
  • You are responsible for network (gas) fees and for verifying every transaction before you sign it.
  • Settlement is immediate and there is no dispute window; losses are realized instantly upon resolution.

8. Fees

The Service charges a protocol fee on market pools at resolution, as described in the product documentation. Fees are applied transparently on-chain and are capped by the program’s on-chain configuration.

9. Market resolution

Markets are resolved to a single outcome by the designated resolution authority once the real-world result is known, driven by authenticated third-party event data (see Risk Disclosure). Voided markets refund stakes in full. You acknowledge that resolution depends on real-world data and that settlement is atomic and final.

10. Prohibited conduct

You agree not to: use the Service for money laundering, fraud, market manipulation, or any unlawful purpose; attempt to exploit, attack, or disrupt the smart contracts, frontend, or infrastructure; use the Service on behalf of anyone barred from using it, or to evade geographic restrictions; or misrepresent your identity, eligibility, or location.

11. No native token required

The protocol does not require a native token for deployment or core operation. Any future token-related activity, if ever pursued, would occur only pursuant to separate terms, disclosures, and jurisdiction-specific legal analysis. Nothing in these Terms constitutes an offer, solicitation, or commitment to issue, distribute, or list any token.

12. Tax

Participation may have tax consequences that vary by jurisdiction and individual circumstance. You are solely responsible for determining, reporting, and paying any taxes applicable to your activity. Microset does not provide tax advice and may be required to report certain information to authorities. Consult your own qualified tax advisor.

13. Intellectual property and trademarks

“Microset”, the Microset logo, and related names and marks are trademarks or service marks of Microset LLC or its affiliates, whether or not registered. The protocol’s software, documentation, designs, and market templates are protected by copyright, trade-secret, and other laws and are owned by Microset or its licensors. No license to use any Microset trademark is granted except under a separate written agreement. Third-party names, league names, team names, and event marks referenced in connection with markets or data feeds are the property of their respective owners; reference does not imply endorsement, license, or affiliation.

14. Forward-looking statements

Certain statements in our materials, including market-size estimates, projections, and roadmap items such as expansion into additional sports, are forward-looking and inherently uncertain, are based on assumptions that may prove incorrect, and are not guarantees of future performance. Microset undertakes no obligation to update them except as required by law.

15. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or uninterrupted or error-free operation.

16. Limitation of liability

To the maximum extent permitted by law, Microset and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, assets, data, or goodwill, arising out of or relating to the Service, the protocol, smart-contract behavior, network performance, data-feed accuracy, or user wallet or key management, even if advised of the possibility of such damages. Some jurisdictions do not allow certain exclusions or limitations, which may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless Microset from any claims, losses, or expenses arising out of your use of the Service or your breach of these Terms.

18. Governing law and dispute resolution

These Terms are governed by the laws of the jurisdiction in which Microset is established, without regard to conflict-of-laws rules. Any disputes will be resolved through binding arbitration where permitted by applicable law, subject to any class-action waiver and forum provisions set out in the applicable agreement between the parties.

19. Changes and severability

We may modify these Terms or the Service at any time. Material changes will be posted here with an updated date. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent. Because the Service is non-custodial, your on-chain assets remain in your control.
